1. Welcome & Introduction

We build partnerships on transparency, ethics, and execution. This policy sets expectations for engagement, delivery, security, and accountability from initiation to handover and support.

2. Onboarding Criteria

  • Completion of Client Information Form
  • Submission of KYC Documents (Government-issued ID, Proof of Address)
  • Project Scope Definition and Approval
  • NDA (Non-Disclosure Agreement) signed by both parties
  • Initial Deposit or Payment Terms Agreement
  • Technical Requirements Assessment (if applicable)
  • Compliance Review for Fintech/Blockchain clients (incl. AML/CFT where applicable)
  • Contact Person and Communication Preferences specified
  • Approval of CodeBurst’s Terms & Conditions and EULA
  • Acknowledgment of Security and Data Access Protocols
  • Agreement on Project Timeline, Support Plan, and Milestone Dates
  • Confirmation of Compensation Terms (e.g., cash, services, access, references)
  • Assignment of Technical Point of Contact (client or team member)
  • Review of Human Rights & Ethics Policy (required for NGO/edu clients)

3. Confidentiality & NDA

An NDA is required before any sensitive information is exchanged. It protects client data, IP, trade secrets, and confidential processes. Data is accessed strictly on a need-to-know basis.

4. End User License Agreement (EULA)

  • Grant of License: Non-exclusive, non-transferable unless otherwise agreed in writing.
  • Restrictions: No reverse engineering, redistribution, or sublicensing without consent.
  • Termination: Use may be suspended or terminated in case of breach.
  • Jurisdiction: Disputes governed by the laws and courts of Lesotho.

5. Warranty & Disclaimer

  • Software will perform substantially as described in approved specifications.
  • Provided “as-is” with no guarantee of uninterrupted functionality.
  • Not liable for misuse, third-party integrations, or external vulnerabilities.
  • Bug fixes and enhancements are handled per contract and agreed support plan.

6. Intellectual Property & Open Source Licenses

Custom-developed code is CodeBurst’s property until payment is complete, after which usage rights or ownership are granted as specified in the agreement (including source code access if explicitly included). Open-source components (e.g., MIT, GPL, Apache-2.0) remain under their original licenses.

7. Freelance & Subcontractor Agreements

  • All third-party personnel operate under NDAs and project-based contracts.
  • Access control, work-for-hire clauses, non-compete, and conflict-of-interest rules enforced.
  • Compensation may include internet access, tools, mentorship, and certification of experience.
  • Reference letters may be issued acknowledging contributions to specific projects.

8. Network Protocols & Security 🔐

  • End-to-end encryption (HTTPS, TLS 1.2+)
  • Role-based access control and multi-factor authentication
  • VPN-secured developer/admin access
  • Secure API design, firewalls, penetration testing, and code scanning
  • Security awareness and secure-coding practices for staff

9. Terms & Conditions

Governs service scope, change control, liabilities, schedule changes, termination procedures, and dispute resolution. Acceptance of T&Cs is required prior to kickoff. Notice periods, refunds, and service suspension terms are defined in the agreement.

10. Payment & Compensation Policy

  • 40% deposit required upfront for fixed-price projects
  • Remaining 60% is milestone-based or on delivery
  • Where monthly payments aren’t feasible, alternatives may include:
    • Access to internet data and development tools
    • Portfolio support and technical experience
    • Public recommendation and verified references
  • Invoices and formal records are maintained for all transactions

11. Financial Policy

  • All client funds receipted and tracked; no undocumented cash payments
  • External audits and tax compliance conducted as part of annual reviews
  • No hidden charges—quotes reflect full expected costs

12. Human Rights & Fair Work Policy

  • No discrimination based on gender, race, religion, or disability
  • Inclusive hiring and remote-friendly culture
  • Fair treatment of freelancers, interns, and partners
  • A safe, respectful, and harassment-free environment

13. Attachment & File Policy

  • Attachments must be relevant and virus-scanned
  • Accepted formats: PDF, DOCX, XLSX, PNG, JPEG, MP4, ZIP
  • Suspicious, harmful, or pirated content will be deleted without notice
  • Use secure cloud sharing (e.g., Google Drive, Dropbox)

14. Communication & Collaboration

  • Channels: Email, GitHub/GitLab, Slack, WhatsApp
  • Client dashboards for updates and file sharing
  • Weekly status check-ins and milestone reviews (or as agreed)
